If you use the App on behalf of an organization or another individual, you represent that you have the authority to accept these Terms on their behalf and that they are also bound by them.

We may update or modify these Terms periodically to reflect changes in our practices, new features, or applicable legal requirements. Any updates will take effect once posted within the App or on our website. Continued use of Divine Daily after such updates constitutes your acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms and Conditions, the following words and expressions have the meanings assigned below. These definitions apply whether the terms appear in singular or plural form.

“User Content” means any material, information, message, journal entry, prayer request, reflection, feedback, or submission provided by you through the App.
“NexGen Matrix LLC” refers to the company, entity, or organization that owns and operates the Divine Daily App and associated Services.
“Terms” or “Agreement” means these Terms and Conditions as amended, updated, or replaced from time to time.
“Privacy Policy” refers to the Divine Daily Privacy Policy, which explains how we collect, use, and protect your personal information.
“Third Party Services” refers to platforms, tools, or technologies that are not owned or controlled by Divine Daily but may be integrated or used to provide certain App functionalities.

3. Eligibility and Use of the App

Divine Daily is intended for individuals who are at least thirteen years of age or older. If you are under this age threshold, you may use the App only under the supervision of a parent or legal guardian who has read and agreed to these Terms on your behalf. Parents and guardians are fully responsible for the actions and use of the App by minors under their care.

Prohibited activities include but are not limited to the following:

You also agree not to use any automated systems, bots, or data-scraping tools to interact with or extract information from the App. Divine Daily reserves the right to suspend or terminate access for any User who violates these rules or engages in conduct that we consider harmful, deceptive, or inconsistent with the spirit and values of our platform.

Important: Your use of Divine Daily constitutes acknowledgment that the App is provided for devotional and educational purposes only and should not be interpreted as professional, medical, legal, or counseling advice. The reflections and scriptures available through the App are designed to inspire, not to diagnose or prescribe solutions to personal or emotional challenges.

4. Accounts, Registration, and Security

To access certain features of the Divine Daily App, you may be required to create an account and provide accurate, current, and complete information. By registering, you agree to maintain the confidentiality of your account credentials and to be fully responsible for all activities that occur under your account. Divine Daily encourages you to use strong, secure passwords and to update them regularly to protect your information.

When creating an account, you agree not to impersonate any person or entity, misrepresent your affiliation, or provide false information. You must immediately notify Divine Daily at privacy@divinedaily.app if you believe that your account has been accessed or used without authorization. Divine Daily will take appropriate steps to investigate and help secure your account, but we cannot be held liable for any losses or damages resulting from unauthorized access caused by your failure to safeguard your login credentials.

You are responsible for ensuring that the information provided during registration remains accurate and up to date. If you change your email address, device, or any other relevant information, you should promptly update your account details through the App settings to ensure continued access and communication.

Divine Daily reserves the right to suspend or terminate any account that is found to be inactive for an extended period, used in violation of these Terms, or linked to fraudulent or harmful activity. We may also restrict access temporarily if we detect suspicious behavior, security threats, or misuse of the App.

If you choose to delete your account, you may do so at any time through the App settings or by contacting our support team. Upon account deletion, certain data may continue to be retained in accordance with our Privacy Policy and legal obligations.

By creating an account and using the App, you acknowledge that Divine Daily may send you administrative messages, updates, or notifications that are necessary for maintaining your account and the functionality of the App. These communications are not promotional in nature and are part of the App’s essential operation.

5. User Content and Submissions

Divine Daily allows users to share certain types of content within the App, including prayer requests, personal reflections, journal entries, notes, messages, and other materials (collectively referred to as “User Content”). By submitting or uploading any User Content, you acknowledge and agree that you are solely responsible for the information you provide and for ensuring that it complies with applicable laws and these Terms.

You retain ownership of your User Content. However, by submitting or posting any material to Divine Daily, you grant us a non-exclusive, worldwide, royalty-free, and revocable license to host, store, display, reproduce, modify, and distribute your User Content as necessary to operate, improve, and provide our Services. We do not claim ownership over your personal reflections or prayers; the license simply allows us to deliver the Service effectively.

You agree that you will not upload, post, or share any User Content that:

Promotes hate, discrimination, or harassment of any kind.
Infringes on the intellectual property, privacy, or publicity rights of others.
Contains false, misleading, or deceptive information.
Includes personal data of another person without their consent.

Divine Daily does not pre-screen or monitor all User Content but reserves the right, at its sole discretion, to remove, edit, or restrict access to any material that violates these Terms or that we consider inconsistent with the purpose and values of the App. We may also suspend or terminate your account if your submissions repeatedly breach these conditions or cause harm to other users.

You understand that any User Content you share through Divine Daily, such as reflections or prayers, may be visible to others depending on your settings and the features you use. Please use discretion when sharing personal or sensitive information. You agree that you are responsible for maintaining the confidentiality of any spiritual or personal material you choose to publish.

By submitting feedback, suggestions, or ideas to Divine Daily, you grant us permission to use and incorporate them without obligation to provide acknowledgment or compensation. Such feedback may be used to enhance the App or develop new features that benefit the community.

Divine Daily reserves the right to cooperate with law enforcement authorities and comply with any legal requests to disclose User Content when required by applicable law.

6. License Grant and Restrictions

Divine Daily grants you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the App and its Services solely for personal, non-commercial purposes and in accordance with these Terms. This license allows you to access devotionals, scripture readings, prayer reflections, and related spiritual content provided through the App for your private use and inspiration.

This license does not grant you any ownership rights in the App or its Content. All intellectual property rights, including copyrights, trademarks, and proprietary materials contained within the App, remain the exclusive property of NexGen Matrix LLC and its licensors.

You agree not to engage in any of the following activities:

Copying, modifying, adapting, or creating derivative works based on the App or any part of its Content.
Decompiling, reverse-engineering, or attempting to extract the source code of the App.
Selling, sublicensing, renting, or distributing any part of the App to a third party.
Circumventing, disabling, or interfering with security features or access controls implemented in the App.
Using the App for any commercial, unauthorized, or unlawful purpose.
Introducing any harmful code, malware, or automated systems that could impair the operation of the App or affect other users.

All rights not expressly granted to you in these Terms are reserved by NexGen Matrix LLC. Any unauthorized use or reproduction of the App or its Content may result in termination of your access and could also lead to civil or criminal penalties under applicable law.

Divine Daily reserves the right to update, modify, or discontinue any feature of the App at any time without notice. While we strive to maintain continuous service, certain updates or maintenance activities may temporarily affect availability. Continued use of the App after any updates constitutes your acceptance of those modifications.

If you violate these Terms or engage in prohibited activities, Divine Daily may suspend or permanently terminate your license and restrict your access to the App. Upon termination, all rights granted to you under this Agreement will immediately cease, and you must uninstall and delete all copies of the App from your devices.

7. Intellectual Property Rights

All intellectual property rights related to Divine Daily, including its design, interface, features, Content, and underlying technology, are and shall remain the exclusive property of NexGen Matrix LLC and its licensors. This includes all copyrights, trademarks, service marks, logos, databases, text, graphics, images, videos, software, and all other materials provided through the App. These rights are protected by international copyright, trademark, and intellectual property laws.

The name “Divine Daily”, the associated logo, and all related product and service names are trademarks or registered trademarks owned by NexGen Matrix LLC. You are not permitted to use, reproduce, or display any of these marks without prior written consent. Unauthorized use of these assets may result in legal action and potential damages.

You acknowledge that all Content made available through the App, including devotionals, scripture reflections, audio materials, and designs, is the intellectual property of Divine Daily or third parties that have granted us the necessary licenses. Except as expressly stated in these Terms, you are not granted any rights or licenses to use such Content.

You may download or print limited portions of the App’s Content solely for your personal, non-commercial devotional use, provided that you do not remove any copyright or proprietary notices. Any other use, including reproduction, public display, modification, or distribution of the App’s materials, requires prior written authorization from Divine Daily.

If you believe that any Content in Divine Daily infringes upon your intellectual property rights, you may contact us at privacy@divinedaily.app with a written notice that includes details of the alleged infringement, your contact information, and evidence of ownership or authorization to act on behalf of the rights holder. 8. Disclaimers and Faith-Based Content

Divine Daily is a devotional and inspirational platform created to provide scripture-based reflections, faith-centered content, and tools for spiritual encouragement. The materials, features, and messages available within the App are offered for personal growth, meditation, and education. They are not intended to replace professional, medical, psychological, or pastoral advice, diagnosis, or treatment.

By using Divine Daily, you understand and agree that all interpretations, reflections, and devotional readings are provided for informational and inspirational purposes only. The App may include references to religious or scriptural sources that reflect different interpretations or traditions. Divine Daily does not promote any specific denomination or theological stance and encourages users to exercise personal discernment and reflection.

You acknowledge that your use of the App is voluntary and based on your individual faith journey. While we strive to ensure that all content is accurate, meaningful, and uplifting, Divine Daily makes no representations or warranties about the completeness, reliability, or suitability of any material presented. Users are encouraged to consult spiritual leaders, counselors, or other qualified professionals for personal or pastoral guidance.

Technical issues, maintenance, or external factors may occasionally affect availability. To the fullest extent permitted by law, Divine Daily disclaims all warranties, whether express or implied, including any warranties of fitness for a particular purpose, accuracy, reliability, or non-infringement.

You agree that your reliance on any content, materials, or interactions within the App is entirely at your own discretion and risk. Divine Daily shall not be liable for any loss or damage arising from your use of or reliance on the App, including but not limited to errors, omissions, or interruptions in content delivery.

Professional Care Notice: If you experience emotional distress, mental health challenges, or spiritual concerns that require personalized attention, you should seek support from a licensed counselor, healthcare professional, or pastoral advisor. Divine Daily is not a substitute for such professional care and does not provide crisis counseling or emergency services.

9. Limitation of Liability

To the fullest extent permitted by applicable law, NexGen Matrix LLC, its affiliates, partners, employees, licensors, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising from or related to your use of the App or Services. This includes but is not limited to damages for loss of data, loss of profits, business interruption, loss of goodwill, emotional distress, or other intangible losses, even if we have been advised of the possibility of such damages.

You agree that your use of Divine Daily and all related Services is at your own risk. The App and its content are provided “as is” and “as available,” without any warranties or representations of any kind. Divine Daily does not guarantee that the App will be secure, uninterrupted, error-free, or free from harmful components. While we take every reasonable measure to maintain system security and data integrity, we cannot guarantee complete protection against unauthorized access, technical failures, or loss of data.

Divine Daily shall not be responsible for any issues arising from your interactions with third party services, advertisements, or external links accessed through the App. Any dealings with such third parties are solely between you and the respective provider. Divine Daily does not endorse or assume responsibility for any third-party content, actions, or products.

In jurisdictions that do not allow the exclusion or limitation of liability for certain damages, our liability shall be limited to the maximum extent permitted by law. In all cases, Divine Daily’s total liability to you for any claim arising under these Terms or related to your use of the App shall not exceed the amount, if any, that you have paid directly to Divine Daily in the twelve months preceding the event that gave rise to the claim.

You acknowledge and agree that these limitations of liability are fundamental to the risk allocation between you and Divine Daily and are an essential basis of our agreement to provide the Services to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless NexGen Matrix LLC, its affiliates, directors, officers, employees, contractors, agents, licensors, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal and accounting fees) that arise from or relate to:

Your access to or use of the Divine Daily App or Services.
Any violation of these Terms or applicable laws by you.
Any User Content you submit, post, or share through the App, including any claim that such content infringes upon the rights of a third party.
Any misuse of the App, misuse of Content, or any action that causes harm to Divine Daily, its users, or its reputation.
Any dispute between you and a third party resulting from your use of the App or participation in its community features.

Divine Daily reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate fully with us in asserting any available defenses and to provide all information and assistance reasonably requested.

This indemnity obligation will continue to apply even after you stop using the App or after these Terms have been terminated. It ensures that Divine Daily and its representatives are protected from potential claims or damages that result from your use of the Services or breach of this Agreement.

Divine Daily strives to maintain a respectful and supportive environment for all users, and by agreeing to these Terms, you acknowledge your shared responsibility in preserving that integrity and protecting the community from misuse or harm.

11. Term and Termination

These Terms and Conditions shall remain in effect from the moment you first access or use the Divine Daily App until they are terminated by either you or NexGen Matrix LLC in accordance with this section.

You may terminate this Agreement at any time by discontinuing your use of the App, deleting your account through the App settings, or submitting a written request to privacy@divinedaily.app. Once your account is deleted, you will no longer have access to any features or data associated with it. Some information may continue to be retained in accordance with our Privacy Policy and applicable legal requirements.

Divine Daily reserves the right to suspend or terminate your access to the App or any portion of it at any time, with or without prior notice, for any reason that includes but is not limited to:

Violation of these Terms or our Privacy Policy.
Use of the App in a manner that may cause harm, disruption, or risk to Divine Daily, its users, or its partners.
Engagement in fraudulent, abusive, or unlawful activities.
Requests made by law enforcement or other government authorities.

In the event of termination, all provisions of these Terms that by their nature should survive termination shall remain in effect. This includes, without limitation, provisions concerning ownership rights, intellectual property, disclaimers, limitations of liability, indemnification, and governing law.

Upon termination of your account or access, all licenses granted to you under this Agreement will immediately cease, and you must delete all copies of the App from your devices. You acknowledge that termination of access may result in the permanent deletion of your data, including stored notes, reflections, or preferences. Divine Daily is not responsible for any loss of data resulting from such termination.

Divine Daily reserves the right to modify, suspend, or discontinue any part of the App or its Services at any time without liability. While we will make reasonable efforts to notify users of significant changes, we may act without notice where immediate action is necessary to protect users, maintain security, or comply with legal obligations.

Termination of this Agreement does not affect any rights or obligations that arose prior to the date of termination. Divine Daily shall not be liable to you or any third party for any suspension, modification, or termination of the App or your access to it.

12. Changes to the Terms

Divine Daily may review and update these Terms and Conditions from time to time to reflect changes in our practices, improvements to the App, or updates required by applicable laws and regulations. We are committed to transparency and will make reasonable efforts to inform you whenever a significant change occurs.

Your continued use of Divine Daily after the revised Terms become effective constitutes your acceptance of the updated version. If you do not agree with the revised Terms, you must discontinue your use of the App and may request account deletion in accordance with our Privacy Policy.

By using Divine Daily, you agree that any legal or equitable action arising out of or relating to these Terms shall be filed exclusively in the competent courts of that jurisdiction. You further consent to the personal jurisdiction and venue of such courts and waive any objection to inconvenient forum or lack of jurisdiction to the maximum extent permitted by law.

Before initiating any formal legal proceeding, you agree to first attempt to resolve the matter informally by contacting Divine Daily at privacy@divinedaily.app. We will make every reasonable effort to address your concern and reach a fair resolution within thirty days of receiving your written notice. If an amicable resolution cannot be achieved within this timeframe, either party may pursue legal action consistent with the governing laws stated in this section.

If you reside in a region where mandatory arbitration laws apply, you may be required to submit certain disputes to binding arbitration rather than litigation. In such cases, the arbitration process will be conducted in accordance with the applicable rules of the recognized arbitration authority in your jurisdiction, and the decision rendered shall be final and binding on both parties.

Nothing in this section shall prevent either party from seeking immediate injunctive or equitable relief in court when necessary to protect intellectual property rights, confidential information, or prevent unauthorized use of the App.

If any portion of this section is found to be unenforceable, that portion shall be severed, and the remainder of this section and the Terms shall continue to apply to the fullest extent permitted by law.

Divine Daily encourages peaceful and respectful resolution of all disputes and believes that most concerns can be addressed through open communication and mutual understanding before legal action becomes necessary.

14. Severability and Waiver

If any provision of these Terms and Conditions is found by a court or competent authority to be invalid, illegal, or unenforceable, that provision shall be modified or interpreted to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision. If such modification is not possible, the affected provision shall be deemed removed from the Terms, but the remaining provisions shall continue in full force and effect.

The failure of Divine Daily to enforce any right, provision, or remedy under these Terms shall not be considered a waiver of those rights or any other provisions of this Agreement. Any waiver must be made in writing and signed by an authorized representative of Divine Daily to be legally valid.

No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default, whether of the same or a different nature. Each provision of these Terms operates independently, and the invalidity or unenforceability of one part does not affect the validity of the rest.

16. Entire Agreement

They replace and supersede any prior agreements, representations, or understandings, whether written or oral, relating to the same subject matter.
